Terms and Conditions of Service

1. About LocolDeal

LocolDeal is an online business discovery, advertising, and promotional platform designed to help businesses promote their products and services and help consumers discover businesses, offers, deals, specials, and other information.

Businesses may be able to create business profiles or storefronts, provide business information, upload photographs and other content, promote services, publish deals or specials, and use other promotional or communication features made available by LocolDeal.

Unless expressly stated otherwise, LocolDeal is a platform provider only.

LocolDeal is not the seller, contractor, service provider, employer, agent, broker, representative, partner, joint venturer, or guarantor of businesses appearing on the platform.

The presence of a business, advertisement, profile, listing, offer, deal, coupon, service, product, or other content on LocolDeal does not constitute an endorsement, certification, recommendation, warranty, or guarantee by Gavelgo International Inc.

2. Eligibility and Accounts

Users must be at least 13 years old to use the general Services. Certain features, business accounts, transactions, or contractual activities may require the User to be at least 18 years old or the age of legal majority applicable to the User.

Users who create accounts agree to provide accurate and current information and to maintain the security and confidentiality of their login credentials.

Users are responsible for activity conducted through their accounts.

Businesses registering with LocolDeal represent that they have authority to create and manage the applicable business profile and to provide information, photographs, logos, trademarks, offers, and other content associated with that business.

LocolDeal may refuse registration, restrict functionality, suspend an account, or terminate an account when reasonably necessary to protect the Services, other Users, businesses, Gavelgo, or the public.

3. Business Listings and Storefronts

Businesses are solely responsible for information submitted to LocolDeal, including business names, addresses, service areas, contact information, descriptions, operating hours, pricing, photographs, logos, licenses, credentials, availability, products, services, deals, promotions, and other representations.

Businesses agree that information they provide will not knowingly be false, deceptive, misleading, fraudulent, unlawful, or infringing.

LocolDeal does not undertake an obligation to independently verify every business, owner, license, insurance policy, certification, credential, product, service, claim, photograph, advertisement, or other representation appearing on the Services.

Users should perform whatever independent investigation they consider appropriate before hiring, purchasing from, contracting with, paying, visiting, or otherwise conducting business with another User or business.

4. Deals, Specials, Coupons and Promotions

Businesses may publish deals, coupons, specials, discounts, or other promotional offers through LocolDeal.

The business publishing an offer is solely responsible for establishing and clearly communicating its terms, restrictions, expiration dates, availability, eligibility requirements, pricing, exclusions, and other conditions.

Businesses are responsible for honoring valid offers they publish in accordance with the terms they establish.

LocolDeal does not guarantee the availability, accuracy, value, validity, acceptance, quality, legality, or continued availability of any promotion.

If LocolDeal receives complaints or reasonably believes that a business is publishing deceptive promotions or repeatedly refusing to honor valid offers, LocolDeal may investigate and may remove content, restrict features, suspend the listing, or terminate the account.

5. Transactions and Relationships Between Users

Any communication, negotiation, estimate, appointment, purchase, service arrangement, contract, payment, performance of work, delivery of goods, dispute, refund, warranty, or other transaction between Users and businesses is solely between those parties unless LocolDeal expressly states otherwise for a particular service.

LocolDeal is not responsible for the acts or omissions of Users or businesses.

Users are responsible for determining whether a business, product, service, price, offer, contractor, provider, or transaction is suitable for their needs.

To the extent permitted by law, Gavelgo International Inc. is not responsible for disputes arising between Users and businesses.

6. Future and Additional Features

LocolDeal may introduce, modify, test, suspend, or discontinue features from time to time, including marketplace, request, bidding, messaging, product, service, promotional, advertising, subscription, or other features.

The availability of such features may vary by location, account type, platform, or User.

Additional terms, disclosures, fees, eligibility requirements, or agreements may apply to particular features.

Nothing in these Terms constitutes a promise that any announced, planned, tested, or contemplated feature will be released or remain available.

7. User Content

"User Content" means information, text, photographs, images, logos, videos, advertisements, business descriptions, promotions, reviews, messages, files, and other materials submitted, uploaded, transmitted, or otherwise provided by Users through the Services.

Users retain ownership of their User Content, subject to the rights granted to LocolDeal under these Terms.

By providing User Content, you grant Gavelgo International Inc. a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, format, modify for technical or presentation purposes, display, distribute, and otherwise use that content as reasonably necessary to operate, improve, promote, and provide the Services.

You represent that you own or have sufficient rights and permissions to provide the User Content and grant this license.

LocolDeal may remove or restrict User Content that it reasonably believes violates these Terms, applicable law, third-party rights, platform integrity, or the safety of Users.

8. Prohibited Conduct

Users may not use LocolDeal to engage in unlawful, fraudulent, deceptive, abusive, threatening, defamatory, harassing, discriminatory, obscene, exploitative, or otherwise prohibited conduct.

Users may not: impersonate another person or business; knowingly submit false or materially misleading information; infringe copyrights, trademarks, privacy rights, publicity rights, or other rights; distribute malware, malicious code, viruses, or harmful software; attempt unauthorized access to accounts, systems, servers, databases, or networks; scrape, harvest, copy, extract, reproduce, republish, or commercially exploit LocolDeal data or content except as expressly authorized; interfere with the operation or security of the Services; manipulate ratings, reviews, inquiries, traffic, accounts, or other platform activity; use automated systems in a manner that places an unreasonable burden on the Services; use the Services to facilitate fraud or illegal activity; or assist another person in violating these Terms.

LocolDeal reserves the right to investigate suspected misuse and take appropriate action.

9. Communications, Responsible Outreach and Anti-Spam Policy

Gavelgo International Inc. does not authorize the use of LocolDeal, the LocolDeal name, its domains, accounts, systems, or Services for deceptive, abusive, fraudulent, or indiscriminate bulk messaging.

LocolDeal may communicate with businesses and Users for legitimate purposes related to the Services, including account administration, customer support, security, service announcements, business development, platform information, and relevant business-to-business outreach.

Where LocolDeal conducts business outreach, we seek to direct communications to businesses or business representatives for whom the communication may reasonably be relevant.

LocolDeal does not authorize deceptive sender identities, misleading subject lines, address harvesting, unauthorized use of third-party mailing systems, or attempts to circumvent spam filters, blocklists, suppression lists, or opt-out mechanisms.

Marketing or promotional communications sent by or on behalf of LocolDeal should identify the sender and provide an appropriate method for recipients to request that further promotional communications stop.

Valid opt-out and suppression requests must be honored. LocolDeal maintains suppression or do-not-contact controls as appropriate to prevent intentional re-contact through the same promotional outreach program after a valid opt-out request.

Users and businesses may not use LocolDeal's Services, data, messaging functions, or other resources to send spam, conduct abusive mass solicitation, harvest contact information, or facilitate unsolicited bulk messaging.

Suspected abuse involving LocolDeal may be reported to [email protected].

LocolDeal may investigate complaints, suspend communications, suppress recipients, restrict accounts, terminate Users, or take other appropriate corrective measures when abuse is identified.

10. Electronic Communications

By creating an account or using the Services, you acknowledge that certain electronic communications may be necessary to operate the Services.

These may include account verification, security notices, password information, transaction or service notices, customer-support communications, policy updates, and other administrative communications.

Where required by applicable law, promotional communications will be handled separately from communications necessary to provide or secure the Services.

11. Intellectual Property

Except for User Content and third-party materials, the Services and their contents - including LocolDeal's name, branding, design, software, graphics, interfaces, databases, text, compilation, arrangement, and original materials - are owned by or licensed to Gavelgo International Inc. and are protected by applicable intellectual-property laws.

No right, title, or interest in LocolDeal intellectual property is transferred to Users merely through use of the Services.

Except as expressly authorized, Users may not reproduce, distribute, modify, sell, license, republish, reverse engineer, commercially exploit, or create derivative works from protected portions of the Services.

Nothing in these Terms grants permission to use the LocolDeal or Gavelgo names, trademarks, logos, or branding without prior written authorization.

12. Copyright and Intellectual-Property Complaints

LocolDeal respects intellectual-property rights.

A rights holder who believes content available through the Services infringes their rights may contact [email protected] with sufficient information to identify the protected work, allegedly infringing material, the location of the material, and appropriate contact information.

LocolDeal may remove or restrict allegedly infringing material where appropriate and may terminate repeat infringers.

13. Third-Party Websites and Services

LocolDeal may contain links to third-party websites, businesses, payment providers, advertisers, social networks, applications, products, or services.

Those third parties operate independently of LocolDeal.

Gavelgo International Inc. does not control and is not responsible for third-party websites, privacy practices, security, availability, content, products, services, representations, or transactions.

Access to third-party resources is at the User's discretion and subject to the applicable third party's own terms and policies.

14. Platform Availability

LocolDeal may modify, update, suspend, restrict, or discontinue any portion of the Services at any time.

We do not guarantee that the Services will always be available, uninterrupted, secure, accurate, complete, or error-free.

Maintenance, technical failures, third-party services, internet conditions, security incidents, legal requirements, and circumstances outside our reasonable control may affect availability.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

GAVELGO INTERNATIONAL INC. DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

WE DO NOT WARRANT OR GUARANTEE THE QUALITY, SAFETY, LEGALITY, LICENSING, INSURANCE, PERFORMANCE, CONDUCT, PRODUCTS, SERVICES, PRICES, OFFERS, OR REPRESENTATIONS OF ANY USER OR BUSINESS LISTED ON LOCOLDEAL.

WE DO NOT GUARANTEE THAT USE OF LOCOLDEAL WILL RESULT IN SALES, LEADS, CUSTOMERS, REVENUE, BUSINESS GROWTH, SEARCH-ENGINE RANKINGS, WEBSITE TRAFFIC, OR ANY PARTICULAR COMMERCIAL RESULT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAVELGO INTERNATIONAL INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOST BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAVELGO INTERNATIONAL INC. SHALL NOT BE LIABLE FOR THE ACTS, OMISSIONS, PRODUCTS, SERVICES, REPRESENTATIONS, TRANSACTIONS, CONTRACTS, DISPUTES, INJURIES, LOSSES, OR DAMAGES CAUSED BY USERS, BUSINESSES, ADVERTISERS, CONTRACTORS, SERVICE PROVIDERS, OR OTHER THIRD PARTIES.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Gavelgo International Inc. and its affiliates, officers, directors, employees, contractors, representatives, and agents from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys' fees arising from or relating to your misuse of the Services, your User Content, your violation of these Terms, your violation of applicable law, or your infringement of another person's rights.

18. Suspension and Termination

LocolDeal may remove content, restrict functionality, suspend accounts, or terminate access when reasonably necessary to address violations of these Terms, fraud, abuse, security concerns, legal obligations, intellectual-property violations, repeated complaints, threats to Users or the Services, or other conduct harmful to the platform.

Businesses do not acquire a permanent right to a listing or continued access merely because an account has been created or a listing has previously been approved.

Termination does not eliminate obligations or liabilities that arose before termination.

19. Privacy

Use of the Services is also subject to LocolDeal's Privacy Policy.

Users should review the Privacy Policy to understand how information may be collected, used, disclosed, and protected.

20. Changes to These Terms

Gavelgo International Inc. may revise these Terms periodically to reflect changes in the Services, business practices, legal requirements, security needs, or other circumstances.

The updated Terms will be posted with a revised "Last Updated" date.

Where required by law, additional notice will be provided.

Continued use of the Services after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

21. Governing Law and Venue

These Terms shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights or remedies that cannot legally be waived, disputes arising from these Terms or the Services shall be brought in a court of competent jurisdiction in Colorado.

22. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent legally permissible, and the remaining provisions shall remain in full force and effect.

23. No Waiver

Failure by Gavelgo International Inc. to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

24. Assignment

Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Gavelgo International Inc.

Gavelgo International Inc. may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets, financing, or other lawful business transaction.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to particular features, constitute the agreement between the User and Gavelgo International Inc. regarding use of the Services and supersede prior terms concerning the same subject matter.
